1. Acceptance of Terms
By accessing or using AlgoThesis (“the Service”), operated by AlgoThesis (“we”, “us”, “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
AlgoThesis is a software tool that uses artificial intelligence to generate trading algorithm code based on user-provided investment theses. The Service includes strategy generation, backtesting simulations, paper trading, and optional live trading integrations through third-party brokerages. The Service is a code generation and analysis tool — it does not execute trades on your behalf, manage your portfolio, or make investment decisions for you.
3. Regulatory Status
AlgoThesis is not a registered broker-dealer, investment advisor, financial planner, or fiduciary.
We are not registered with the U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), the Commodity Futures Trading Commission (CFTC), or any state securities regulatory authority. We do not hold ourselves out as any of the foregoing.
The Service is a software development tool that generates code. It does not provide financial advice, investment advice, tax advice, legal advice, or any form of professional advisory services. Any observations concerning any security, trading algorithm, or investment strategy provided through the Service are not recommendations to buy, sell, or hold any investment or security, and are not intended to be relied upon as the basis for any investment decision.
We offer no advice regarding the nature, potential value, risk, or suitability of any particular investment strategy, trading algorithm, transaction, security, or investment. Your financial situation is unique, and any information obtained through the Service may not be appropriate for your situation. You should consult a licensed financial advisor before making any investment decisions.
4. Risk Disclosure
Trading securities and cryptocurrencies involves substantial risk of loss. Any use of the Service, including any trading or investment decisions or strategies, are made entirely at your own risk.
- Past performance and backtesting results do not guarantee future results.
- Backtests are hypothetical simulations that do not account for all market conditions, slippage, fees, or execution differences.
- AI-generated strategies may contain errors, logical flaws, or produce losses.
- Paper trading results may differ significantly from live trading results.
- You can lose some or all of your invested capital.
- Cryptocurrency markets are highly volatile and largely unregulated.
- Market data, catalyst information, and AI analysis may be inaccurate, incomplete, or delayed.
- Backtests use a single algorithm (dollar-cost averaging with trailing stops and scale-outs) applied to historical price data. They do not incorporate catalysts, earnings events, or news in their simulation. Catalyst-aware trading only activates when a strategy is deployed.
- Different strategies generated from the same thesis may use overlapping tickers with the same underlying trading algorithm. The difference between strategies is ticker selection and portfolio weighting, not trading methodology.
4.1 Prediction Tracking & Accuracy
When you generate or deploy a strategy, AlgoThesis records the backtest predictions (projected P&L, Sharpe ratio, alpha) as a prediction record. If deployed, we track actual performance over time and compute an accuracy score comparing predicted vs. actual returns. This data is used to:
- Provide you with transparency on how well our backtests predict real outcomes.
- Improve our strategy generation and backtesting algorithms over time.
- Generate aggregate, anonymized accuracy statistics visible to all users.
Accuracy scores are informational only and do not constitute a guarantee of future prediction quality. A high accuracy score on past predictions does not mean future predictions will be equally accurate.
Do not trade with money you cannot afford to lose. If you are unsure whether trading is appropriate for your financial situation, consult a licensed financial advisor.
5. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information during registration. You must be at least 18 years old to use the Service. You represent that you have the legal capacity to enter into these Terms in your jurisdiction.
6. Use Restrictions and Permitted Use
Personal use. Free and Pro plans are licensed for personal, individual use only. One account per person. You may not share account credentials or allow others to access the Service through your account.
No enterprise or institutional use. Unless you have a separate written enterprise agreement with us, you may not use the Service on behalf of, or for the benefit of, any corporation, fund, partnership, or other business entity. This includes but is not limited to hedge funds, proprietary trading firms, asset managers, family offices, and financial institutions. If you wish to use AlgoThesis for institutional or commercial purposes, contact us at enterprise@algothesis.com.
No resale or redistribution. You may not resell, redistribute, sublicense, or commercially distribute strategies, code, signals, or any other output generated by the Service. You may not build a competing product or service using outputs from AlgoThesis.
No automated access. You may not use bots, scrapers, or automated tools to access the Service, bulk-generate strategies, or circumvent rate limits, authentication, or access controls. API access, if offered, is governed by its own usage limits and terms.
7. Acceptable Use
You further agree not to:
- Use the Service for any illegal purpose, including market manipulation, insider trading, front-running, or fraud.
- Attempt to reverse-engineer, decompile, or extract source code, model weights, or training data from the Service.
- Use the Service to generate misleading content, fraudulent signals, or “pump and dump” schemes.
- Misrepresent AI-generated outputs as human-created professional financial advice.
- Use the Service in any way that violates applicable securities laws or regulations.
8. AI-Generated Output and Intellectual Property
Our platform and technology. The Service combines proprietary systems with third-party services. Our proprietary components include our catalyst detection and event-mapping system, backtesting simulation engine, multi-agent analysis architecture, data aggregation pipelines, and all associated source code, configurations, and system design (collectively, “Platform Technology”). The Service also uses third-party AI language models (Google Gemini, Anthropic Claude) for natural language processing and strategy text generation. Our Platform Technology is and remains our exclusive intellectual property. Nothing in these Terms grants you any right to our source code, system prompts, internal logic, or architecture.
Your inputs. You retain ownership of the theses, ideas, and parameters you submit to the Service (“User Inputs”). You grant us a limited, non-exclusive, royalty-free license to process your User Inputs solely for the purpose of (a) providing the Service to you, and (b) improving the quality of our systems in aggregate and anonymized form. We will not share your individual theses, strategies, or trading data with other users or third parties, except as described in our Privacy Policy.
Generated output. Strategy code, analysis, and recommendations generated by the Service (“Output”) are produced by a combination of our Platform Technology (catalyst discovery, backtesting, risk analysis) and third-party AI models (natural language generation). We grant you a non-exclusive, personal, non-transferable license to use, modify, and deploy Output for your own personal trading. You may export and modify generated code for personal use. This license does not extend to commercial redistribution, resale, or use on behalf of a business entity (see Section 6).
No copyright guarantee. Portions of Output are generated with the assistance of AI models. AI-generated content may not be eligible for copyright protection under current law. We make no representations regarding the copyrightability or exclusivity of any Output. Similar inputs from different users may produce similar or identical outputs. We do not guarantee that Output is unique to you.
Upstream model terms. Certain components of Output are generated using third-party AI models subject to their own terms of service and acceptable use policies. Your use of Output must comply with those upstream terms. We are not liable for changes to third-party model providers' terms, availability, or output quality.
9. Third-Party Integrations
The Service integrates with third-party brokerages (Alpaca, Coinbase, Kraken) and data providers (Finnhub). We are not responsible for the availability, accuracy, or performance of third-party services. Your use of third-party platforms is governed by their respective terms and policies. We are not a party to any agreement between you and any brokerage, and we are not responsible for any trades executed by a brokerage on your behalf.
When you connect a brokerage account, you authorize us to submit orders according to strategies you have deployed. You may revoke this authorization at any time by disconnecting the brokerage or disabling live trading. We are not responsible for orders that are partially filled, rejected, or delayed by the brokerage.
10. Subscription and Billing
Paid plans are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to change pricing with 30 days' notice. Refunds are handled on a case-by-case basis. Free tier usage is subject to daily generation limits that may change at our discretion.
11. Indemnification
You agree to indemnify, defend, and hold harmless AlgoThesis, its founders, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service, including any trading losses.
- Your violation of these Terms.
- Your violation of any applicable law, rule, or regulation.
- Any content or data you submit to the Service.
- Any dispute between you and a third-party brokerage or data provider.
12. Limitation of Liability
To the maximum extent permitted by law, AlgoThesis and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or trading losses of any kind.
- Loss of data, strategies, or configurations.
- Business interruption or missed trading opportunities.
- Damages arising from errors in AI-generated output.
- Damages arising from third-party brokerage failures.
- Damages arising from inaccurate market data or catalyst information.
Our total aggregate liability for any and all claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid for the Service in the 12 months preceding the claim, or (b) one hundred U.S. dollars (US$100).
You expressly acknowledge that you are using the Service at your own risk and that the Service is provided on an “as is” basis.
13. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability. We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free.
- AI-generated strategies will be accurate, complete, or profitable.
- Market data or catalyst information will be current or correct.
- The Service will meet your specific investment objectives.
- Backtesting results are reliable indicators of future performance.
14. Dispute Resolution
Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. You agree to waive any right to a jury trial or to participate in a class action lawsuit against AlgoThesis. This does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.
15. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any reason with 30 days' notice. We may immediately terminate without notice for suspected fraud, illegal activity, or abuse. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately, and any deployed strategies will be deactivated. We are not responsible for any open trades or positions at the time of termination.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
18. Changes to Terms
We may update these Terms at any time. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use after changes constitutes acceptance. If you disagree with updated Terms, your sole remedy is to close your account.
19. Entire Agreement
These Terms, together with our Privacy Policy and Risk Disclaimer, constitute the entire agreement between you and AlgoThesis regarding the Service. Any separate enterprise agreement, if applicable, shall take precedence over these Terms to the extent of any conflict.
